1. Completing this form does not constitute any offer, promise, or guarantee by us to extend credit, financing, or net terms to you or your business. This application shall serve as your request to be considered for such extension, and shall be met with an approval or denial within 5 business days, based on a thorough review for reliability and creditworthiness.
2. Any extension of credit, financing, or net terms shall be used solely for office furnishings/services within a business setting.
3. An initial deposit may be required, the amount of which will be based on your creditworthiness and/or the total credit amount. This can be up to 75% the total sale for invoices and purchase orders, and typically first and last month's payment for extended Lease-To-Own financing.
4. All project contracts and invoices must be approved and signed by either the credit applicant or one of the principals listed on the original credit application. If any of these individuals wish to add a new authorized contact from their company for approving orders, they may do so by submitting notice to us in writing with the new person's name and contact information.
5. By signing a contract and entering into any agreement with cubicles.com in which we (or our agents/representatives) are extending credit or delayed payment options, the signatories absolutely and unconditionally guarantee the prompt payment of any and all indebtedness arising from their order.
6. Any extension of credit can be subject to change, or can be revoked at any time. Customers who are originally approved for credit terms but later demonstrate an unreliable payment history may be required to pay in full for any new orders they wish to place.
7. Invoices are due and payable within the time period noted on the invoices, measured from the date of the invoice. We may invoice parts of an order separately.
8. For delayed payment terms or net terms, any amounts past due will be subject to a 1.5% monthly finance charge every 30 days past the date of their invoice, and will continue each month until paid in full. Future orders will not be processed, released for production, or shipped until all past due balances are paid in full, including finance charges.
9. All products remain the property of cubicles.com until final payment is received, and we hold a valid and continuing first-priority security interest in these products, to be granted in our favor, and prior to all other liens.
10. Should it become necessary, we reserve the right to refer the account balance to a licensed collection agency or attorney for legal action, and/or file UCC-1 to secure final payment, and/or report the original credit applicant, the order signatory, and all principals as personally liable for the amounts due to credit bureaus and others who may lawfully receive such information.
11. If any collections or legal proceedings commence to collect any balances due, all collections or legal fees, costs and expenses will be paid by the client.
12. Any infraction of these terms shall be governed by the laws of the State of New York and of the USA, disregarding any conflict of law provisions of your state of incorporation or organization, and/or the state in which our products and services were rendered. We may report infractions or violations related to this agreement to the appropriate authorities.
13. If a dispute arises, you agree to arbitration whenever and wherever possible. In cases where arbitration is not possible and a legal outcome is necessary, litigation shall be addressed in courts located within the State of New York.
14. Any failure on our part to exercise or enforce any right or provision of these terms shall not constitue a waiver of such right or provision.
15. No terms of this agreement may be changed except by written consent of cubicles.com
